All products offered by OROMODO are discontinued, overstock, or closeout items sold on a clearance, final-sale basis. By placing an order, Buyer acknowledges having read and agreed to all terms below. These terms govern every deposit, invoice, and order confirmation issued by OROMODO.
All Sales Final — Clearance Goods
All products offered by OROMODO are discontinued, overstock, or closeout items sold on an ALL SALES FINAL basis. No returns, exchanges, credits, or refunds will be accepted once an order has shipped. Buyer accepts this as a material term of the transaction and as consideration for the closeout pricing offered.
Order Cancellations
Cancellation requests must be submitted in writing to orders@oromodo.com before the order has been dispatched for shipping. Once an order has shipped, no cancellation will be accepted under any circumstances. Approved pre-shipment cancellations are subject to a restocking and processing fee of 15% of the order total (minimum $350) to cover non-refundable payment processing fees, inventory reservation, and administrative costs. Credit card processing fees are not recoverable by OROMODO and are included within this charge.
As-Is / Where-Is — Disclaimer of All Warranties
ALL PRODUCTS ARE SOLD "AS-IS, WHERE-IS" WITH NO WARRANTIES OF ANY KIND. OROMODO EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. No warranties are provided beyond any remaining manufacturer warranty, which OROMODO does not administer or guarantee. Buyer assumes the entire risk as to the quality, suitability, and performance of the goods. Buyers are responsible for verifying compatibility with their installation requirements prior to purchase.
Manufacturer Warranty — Buyer's Responsibility
Some products may carry a remaining manufacturer warranty. OROMODO does not administer, guarantee, or make any representations regarding manufacturer warranties. It is the sole responsibility of the Buyer to independently verify current warranty coverage, terms, eligibility, and claims procedures directly with the manufacturer prior to purchase. Warranty terms are set exclusively by the manufacturer and are subject to change without notice. OROMODO is not a party to any warranty claim and has no liability whatsoever in connection with any warranty matter. All warranty claims must be directed exclusively to the manufacturer. To the extent any manufacturer warranty accompanies the products, OROMODO passes through such warranty rights to Buyer on a back-to-back basis — no broader and no narrower than what OROMODO itself received.
Delivery — Risk of Loss and Acceptance
OROMODO arranges delivery to the address provided at time of purchase through third-party freight carriers. Risk of loss, damage, and title to all goods passes to Buyer upon delivery to Buyer or Buyer's designated carrier (FOB Origin). Our responsibility ends upon delivery. Buyer must be present to receive, inspect, and sign for all freight shipments. Signature of the delivery receipt constitutes unconditional acceptance of the goods in the condition received and operates as an irrevocable waiver of all claims against OROMODO arising from or related to the goods. Buyer must provide written notice of any claim — including damage, defects, or non-conformance — to orders@oromodo.com within 48 hours of delivery. Failure to provide written notice within 48 hours constitutes an absolute waiver of all such claims. It is the Buyer's responsibility to verify that the product will fit in the intended installation space prior to delivery. If the product does not fit upon arrival, the Buyer is responsible for all costs including fuel, packaging, and labour.
Freight Damage Claims
If your shipment arrives visibly damaged, you must note the damage directly on the carrier's bill of lading at the time of delivery. Photograph the damage to the packaging and product before moving it, and contact us at orders@oromodo.com within 48 hours of delivery with your order number and photos. Claims reported after 48 hours, or without documentation noted on the bill of lading, may not be eligible for replacement or refund. OROMODO's liability for freight damage is limited to the purchase price of the damaged unit(s).
Wrong Product Shipped
In the event the wrong product is shipped, the buyer must notify OROMODO in writing within 3 business days of receipt. We will offer one of the following resolutions: (1) ship the correct product at no charge and arrange return of the incorrect item, or (2) offer a price adjustment and the buyer agrees to keep the product received. Once option 2 is accepted, no further claims regarding product satisfaction will be considered.
Installation
OROMODO does not provide installation services. The Buyer assumes full responsibility for installation, including compliance with local building codes, permit requirements, and any damage to property resulting from installation or use of the product. All claims relating to installation outcomes or downstream use shall be directed exclusively to the installing contractor.
Limitation of Liability
OROMODO's maximum aggregate liability to Buyer for any and all claims arising out of or relating to any sale — whether in contract, tort, statute, or otherwise — shall not exceed the actual purchase price paid by Buyer to OROMODO for the specific unit(s) directly giving rise to the claim. This cap applies in aggregate across all claims. In no event shall OROMODO be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages of any kind, including but not limited to costs of labour, installation, removal, reinstallation, property damage, personal injury, lost profits, lost revenue, or loss of use. All remaining liability is fully waived upon delivery and acceptance as described above.
Buyer Indemnification
Buyer shall defend, indemnify, and hold harmless OROMODO and its officers, directors, employees, and agents from and against any and all claims, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) Buyer's installation, storage, handling, use, or resale of the goods; (b) any claim by a third party — including Buyer's customers, contractors, or end users — in connection with the goods; (c) any warranty matter relating to the goods; or (d) Buyer's breach of any term of this agreement. By accepting delivery, Buyer irrevocably releases and indemnifies OROMODO from all liability of any kind in connection with the goods. This indemnity survives delivery and payment.
No Manufacturer Affiliation or Endorsement
OROMODO is an independent reseller of closeout and overstock inventory. OROMODO is not affiliated with, endorsed by, sponsored by, or officially connected to any manufacturer whose products it sells, including their subsidiaries or authorized distributors. All manufacturer names, brand names, and trademarks are the property of their respective owners and are referenced solely for product identification purposes.
Errors and Omissions
All product specifications, dimensions, quantities, and certifications in OROMODO's materials have been sourced from publicly available manufacturer documentation and are provided in good faith for reference only. OROMODO makes no warranty as to their accuracy or completeness. Specifications may change without notice. Buyer is solely responsible for independently verifying all specifications prior to ordering. OROMODO shall not be liable for any loss or damage arising from reliance on such information.
Payment
OROMODO reserves the right to require advance payment or cash on delivery (COD) prior to fulfillment. Delivery may be withheld until payment is confirmed.
Taxes
Buyer is responsible for all applicable federal, provincial/state, and local taxes, duties, and charges not already included in the purchase price.
Governing Law
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any dispute arising under these terms shall be subject to the exclusive jurisdiction of the courts of Ontario. Nothing in these terms limits your rights under the Ontario Consumer Protection Act or other applicable law where such rights cannot be waived by contract.
Changes to These Terms
OROMODO reserves the right to modify, update, or amend these terms and conditions at any time without prior notice. The terms in effect at the time of your purchase apply to that transaction.
